This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you ("User," "you," or "your") and Ohh BeeHave, LLC d/b/a Stinger Industries ("Stinger," "we," "us," or "our"), a Florida limited liability company located in Port St. Lucie, Florida.
This EULA governs your use of the Stinger mobile applications (each an "App" and collectively the "Apps") available through the Apple App Store, Google Play Store, or other distribution platforms. By downloading, installing, accessing, or using any of the Apps, you agree to be bound by this EULA. If you do not agree to these terms, do not download, install, or use the Apps.
By downloading, installing, or using any Stinger App, you acknowledge that you have read, understood, and agree to be bound by this EULA. You represent that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement. If you are using the Apps on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to this EULA.
This EULA supplements, and does not replace, the Stinger Industries Terms of Service and any applicable Master Services Agreement or subscription agreement between you (or your organization) and Stinger. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall control except with respect to matters specifically addressed by this EULA regarding mobile application usage.
Subject to your compliance with this EULA and all applicable terms, Stinger grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Apps on mobile devices that you own or control, solely for your personal or internal business purposes in connection with your use of the Stinger Command Center platform.

Stinger offers the following mobile applications, each designed to extend the functionality of the Stinger Command Center platform for service businesses:
The primary mobile application providing on-the-go access to the Stinger Command Center SaaS platform. Features include the Annabelle AI concierge, customer management, job tracking, team communication, real-time notifications, and business analytics dashboards.
A bookkeeping and expense tracking application designed for service businesses. Bound enables users to record expenses, categorize transactions, capture receipt images, track revenue, generate financial summaries, and manage accounts payable and receivable from the field.
A scheduling and calendar management application for service businesses. Chair enables users to schedule appointments, manage technician availability, view and update daily schedules, send appointment confirmations and reminders to end customers, and coordinate team calendars.
A proposals and estimates application for service businesses. Galley enables users to create, customize, and send professional proposals and estimates to customers, including itemized pricing, terms and conditions, photos, and scope-of-work descriptions. Customers can review and approve proposals directly through the application.
An inventory management application for service businesses. Cage enables users to track parts and materials, manage stock levels across locations and vehicles, set reorder alerts, scan barcodes, log inventory usage against jobs, and generate usage reports.
An electronic signature application for service businesses. Signet enables users to collect legally binding electronic signatures on contracts, proposals, work orders, change orders, and other documents. Signet captures signer identity, timestamps, and IP addresses to create a complete audit trail.
The availability of specific Apps and features within each App may vary based on your Stinger subscription plan and tier. Stinger reserves the right to modify, add, or discontinue Apps or features at any time.
Use of the Apps requires an active, paid subscription to the Stinger Command Center platform. The Apps are not standalone products and cannot be used independently of a valid Stinger subscription. If your subscription is suspended, terminated, or expires, your access to the Apps will be suspended or terminated accordingly.
Access to specific Apps and features within the Apps is determined by your Stinger subscription plan tier. Certain Apps or features may only be available on higher-tier plans. Refer to your subscription agreement or the Stinger pricing page for details on which Apps and features are included in your plan.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Stinger immediately of any unauthorized use of your account or any other breach of security. Stinger shall not be liable for any loss or damage arising from your failure to protect your account credentials.
If your Stinger subscription includes multiple user seats, each user must have their own account and credentials. Sharing of account credentials between users is prohibited. Your organization's administrator is responsible for managing user access and permissions.
You agree that you shall not, and shall not permit any third party to:
The Apps, including all content, features, functionality, software, code, designs, graphics, logos, trademarks, trade names, and documentation, are and shall remain the exclusive property of Stinger and its licensors. The Apps are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and foreign jurisdictions. This EULA does not grant you any ownership interest in the Apps, and all rights not expressly granted herein are reserved by Stinger.
You retain all rights, title, and interest in and to any data, content, or materials that you create, upload, transmit, or store through the Apps ("User Content"). By using the Apps, you grant Stinger a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and transmit User Content solely as necessary to provide, maintain, and improve the Services and to comply with applicable law. This license terminates when you delete User Content from the Services or upon termination of your account, except to the extent Stinger is required by law to retain copies.
If you provide Stinger with any suggestions, ideas, feedback, or recommendations regarding the Apps ("Feedback"), you hereby assign to Stinger all rights in and to such Feedback and agree that Stinger is free to use, disclose, reproduce, modify, license, transfer, and otherwise distribute and exploit the Feedback without restriction or obligation to you.
The Apps integrate with and may rely upon third-party services to provide certain functionality. These third-party services include, but are not limited to:
Your use of these third-party services through the Apps is subject to the respective terms of service and privacy policies of those third parties. Stinger is not responsible for the availability, accuracy, security, or performance of any third-party service. Stinger does not endorse and is not liable for any acts or omissions of third-party service providers. If a third-party service becomes unavailable or changes its terms, Stinger may modify or discontinue the affected features of the Apps without liability to you.
Your use of the Apps is subject to the Stinger Industries Privacy Policy, available at /privacy, which describes how we collect, use, store, and share information in connection with the Apps and Services. By using the Apps, you acknowledge that you have read and understood our Privacy Policy.
The Apps may collect the following types of information:
For business customers subject to the General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA), a Data Processing Agreement is available at /legal/data-processing-agreement.
The Apps do not offer in-app purchases or subscriptions through the Apple App Store or Google Play Store. All subscription management, billing, and payment processing for the Stinger platform and its Apps are handled directly through your Stinger account.
Subscription fees, plan changes, upgrades, downgrades, and cancellations are governed by your Stinger subscription agreement and the Stinger Terms of Service. For billing inquiries, contact Stinger directly at the contact information provided in Section 18 of this EULA.
Stinger reserves the right to modify its pricing and subscription plans at any time. Changes to pricing will not affect your current billing period but may apply to subsequent renewal periods. Stinger will provide advance notice of pricing changes as specified in the Terms of Service.
Stinger may, from time to time, release updates, upgrades, patches, bug fixes, or new versions of the Apps ("Updates"). Updates may be delivered automatically through the applicable app store or may require manual action on your part.
You agree that:
Stinger may also modify this EULA from time to time. If we make material changes, we will notify you through the Apps, by email, or by posting the updated EULA on our website. Your continued use of the Apps after the effective date of any modification constitutes your acceptance of the modified EULA.
Stinger may suspend or terminate your license to use the Apps at any time, with or without notice, if:
You may terminate this EULA at any time by deleting all copies of the Apps from your devices and ceasing all use. Termination of this EULA does not automatically terminate your Stinger subscription; subscription cancellation is governed by the Terms of Service.
Upon termination of this EULA:
THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STINGER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
STINGER DOES NOT WARRANT THAT THE AI-POWERED FEATURES OF THE APPS, INCLUDING THE ANNABELLE CONCIERGE AND LIVE CALL ASSISTANT, WILL PRODUCE ACCURATE, COMPLETE, OR RELIABLE RESULTS. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, STINGER'S WARRANTIES ARE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
13.1 IN NO EVENT SHALL STINGER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APPS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF STINGER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 STINGER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE APPS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU (OR THE ORGANIZATION ON WHOSE BEHALF YOU USE THE APPS) TO STINGER DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13.3 THE LIMITATIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this EULA.
Any legal action or proceeding arising out of or related to this EULA shall be brought exclusively in the state or federal courts located in St. Lucie County, Florida, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
Before initiating any legal proceeding, the parties agree to attempt to resolve any dispute informally by contacting each other in writing. The parties shall negotiate in good faith for a period of at least thirty (30) days before either party may pursue formal legal remedies.
If any provision of this EULA is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from this EULA. The remaining provisions of this EULA shall continue in full force and effect.
The failure of Stinger to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by Stinger. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.
This EULA, together with the Terms of Service, Privacy Policy, and any applicable subscription agreement, constitutes the entire agreement between you and Stinger with respect to the Apps and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, regarding the Apps.
